Special recipient of service: responsibilities and limitations

What responsibilities does a special recipient of service have? See what the role covers, what it does not mean and what remains the responsibility of the company's board.

A special recipient of service has one limited assignment: to receive service of process on behalf of the company. The role does not make the person a board member or a signatory, and it does not create responsibility for the company's finances, agreements or decisions. In practice, my service means that documents I receive are handled securely and forwarded to you according to our agreement.

What does the law say about the responsibility?

The rule is found in Chapter 8, Section 40 of the Swedish Companies Act (2005:551). In substance it states that if the company does not have an authorised representative resident in Sweden, the board must authorise a person resident here to receive service of process on behalf of the company.

The authority given by law is therefore narrow. It concerns receiving documents — nothing else. Practical routines such as logging, forwarding or arranging a substitute are not stated as explicit legal duties in that provision; they follow from the service agreement and from ordinary care.

If the same person also holds another role in the company, that role is assessed separately according to its own rules.

What responsibility remains with the company?

The company's board and authorised representatives remain responsible for assessing the document, monitoring deadlines, responding to the authority or the court and taking any necessary action.

It is also important that the company keeps its contact details up to date with me, so that forwarded documents actually reach the right person quickly.

Can the recipient of service become personally liable?

The role in itself does not create liability for the company's obligations. At the same time, the answer is not that there is no responsibility at all: a person is always responsible for their own actions, and what has been agreed about the practical handling may matter.

Example: how responsibility works with a formal notice

  1. A formal notice addressed to the company arrives at the registered address.
  2. I receive it on behalf of the company and note the date of receipt.
  3. When service has been accepted on behalf of the company, the company may be considered served and deadlines may start to run.
  4. I forward the document to your contact person without delay, digitally and, if requested, by post.
  5. The board assesses the notice, decides what to do and responds to the authority within the stated time.

FAQ

Is a special recipient of service liable for the company's debts?

No. Accepting service of process on behalf of the company does not in itself create liability for the company's debts, taxes or other obligations. Such liability follows from other rules and other roles, for example a board appointment.

Is a special recipient of service a board member?

No. These are two separate roles. A special recipient of service is not part of the board and does not take part in the company's decisions. If the same person is also a board member, that liability is assessed separately.

May a special recipient of service sign for the company?

No, not through the role. The authority is limited to receiving service of process on behalf of the company. Signatory authority requires a separate decision and a separate registration with the Swedish Companies Registration Office.

Who is responsible for responding to a served document?

The company's board and authorised representatives. They must assess the document, monitor deadlines, respond to the authority or the court and take any necessary action. The recipient's task is to receive the document and forward it.

What happens if the company does not act on the document?

Once the recipient has accepted service on behalf of the company, the company may be considered served and deadlines may start to run. If the company then fails to act, this may affect the matter, for example a decision taken without the company's input. The consequences depend on the case and are handled by the company.

Can a special recipient of service resign?

Yes. The role is based on an assignment and can be ended. The resignation is reported to the Swedish Companies Registration Office, and the company needs to appoint a new person if the requirement still applies.
