Received a Notice from Bolagsverket? How to Register a Service Recipient
Has your company received a notice from Bolagsverket requiring a service recipient? We can help – registration within 48h from SEK 1,000/month.
What does the notice mean?
A notice (föreläggande) from Bolagsverket means the authority has identified that your company lacks an authorised representative (board member, CEO or authorised signatory) residing in Sweden. Under the Swedish Companies Act, the company is then required to register a särskild delgivningsmottagare – a person in Sweden who can receive legal documents on the company's behalf.
The notice is not a fine – it is a formal request to correct the situation within a set deadline.
What happens if you do not respond in time?
If Bolagsverket does not receive a response before the deadline, the authority can decide to initiate liquidation proceedings for the company. The company then risks being forced into liquidation and struck from the register – a process that is expensive, time-consuming and often difficult to reverse. Acting quickly when you receive the notice is therefore critical.
Step-by-step: How to fix it quickly
Engage a service recipient
Contact a professional särskild delgivningsmottagare (for example via delgivningsmottagare.se). You receive an agreement, a signed declaration and all details required for the filing.
File via verksamt.se
Log in to verksamt.se and submit the change of company details. Enter the recipient's name, Swedish personal identity number and postal address, and attach the signed declaration.
Reply to the notice
Send confirmation to Bolagsverket that the change has been filed, using the reference number from the notice. As soon as the registration is approved, the company is compliant again and the liquidation risk is removed.
